We inform you that Federal law # 115-FZ of April 7, 2020 “On making amendments to certain legislative acts of the Russian Federation in terms of unifying the content of annual reports of state corporations (companies), public law companies, as well as in terms of establishing the specifics of regulating corporate relations in 2020 and suspending the embodiment of provisions of certain legislative acts of the Russian Federation” (hereinafter – the Law) entered into force on 07.04.2020
The law suspends the embodiment of provisions of the Federal law “On limited liability companies” until 31.12.2020 inclusive that enforce mandatory conducting of annual general meetings
no later than four months after the end of the financial year (the second sentence of part 2 of article 34 of the Law “on LLC”) and establishes that the annual general meeting in 2020 is held no earlier than 2 months and no later than 9 months after the end of the financial year (sub-clause 2 of clause 4 of article 12 of the Law).
Thus, annual meetings in 2020 should be held no later than 30.09.2020.
